PLEASE READ BEFORE BUYING: Checkout identifies one-time and recurring charges, renewal timing, and cancellation controls. These terms do not remove rights that applicable consumer law does not allow a contract to waive. This in-house draft has not been reviewed by an attorney; the Company should obtain qualified counsel before relying on it.
These Terms of Service (the "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and IMPRESSIONSDIRECT360 LLC, a Missouri limited liability company ("Company", "we", "us", or "our").
By accessing, registering for, or using our website, QR code generation tools, landing page builders, API, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must immediately discontinue use of the Services.
You must be at least 18 years old and legally able to enter this Agreement. If you use the Services for a business or other organisation, you confirm that you are authorised to bind it. You must provide accurate account, billing, and domain-registration information and keep it current.
We grant you a limited, non-exclusive, non-transferable, and revocable licence to use our Services for your personal or internal business purposes, subject to this Agreement. We may improve, replace, suspend, or discontinue a feature. Where reasonably practicable, we will give advance notice of a material change to a paid service. We will not retroactively reduce the core paid entitlement for an active prepaid term except when needed for security, safety, law, or a provider requirement outside our reasonable control.
You covenant and agree that you shall NOT use the Services to:
Violation Protocol: We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate this Agreement.
Checkout shows whether a charge is one-time or recurring, the amount and currency, the billing interval or fixed term, what is included, and the renewal price or method known at the time. Recurring services are billed in advance through Stripe only after you expressly confirm the order, and continue for the disclosed interval until cancelled. A promotional first term does not change a clearly disclosed renewal price.
Cancellation. You may cancel a recurring subscription online from your billing page, without a cancellation fee or a support call. We provide confirmation, cancellation stops the next recurring charge, and access ordinarily remains through the paid period. A domain auto-renew setting is separate and can be disabled from domain management.
Refunds. Except where applicable law requires otherwise, a written product guarantee applies, a charge was duplicated, or we failed to deliver the purchased service, charges for a completed billing period are non-refundable. Registry and registrar charges generally cannot be reversed after a domain order has been submitted. Contact support@impressionsdirect360.com promptly about a duplicate, failed delivery, or billing error. Nothing in this section limits a statutory refund, cancellation, charge-dispute, or consumer right.
Hosted email is supplied through Tucows/OpenSRS. You must control the domain, publish the DNS records shown in your account, keep your mailbox password secure, and use the service lawfully. New mailboxes can have temporary outbound sending limits imposed by the provider to reduce abuse.
We create a mailbox only after Stripe confirms an active subscription. A past-due, unpaid, or cancelled subscription may suspend mailbox access. Before a subscription ends, export any mail you need to retain. DNS changes, provider maintenance, spam filtering, third-party mail systems, and the public internet can affect delivery, so no particular message delivery time is guaranteed.
Each active, unexpired domain registered or transferred to ID360 includes starter hosting for one static website assigned to that domain, up to 100 MB of stored website releases, three visible release restore points, and managed HTTPS on supported connections, at no additional hosting charge. This benefit becomes available after registration or transfer completes and ownership is confirmed. It ends if the domain expires, is suspended, or leaves the account or ID360. DNS changes and publication require your selection and confirmation, which may be given at checkout for a supported new registration. Selecting the included Coming soon website authorizes automatic publication of the disclosed domain-name starter and supported DNS/HTTPS setup after registration. It contains no account contact details. You can edit or unpublish it; existing customer-edited websites are not automatically replaced. Transfers do not trigger automatic starter publication or migrate an existing website. Included hosting is not a separately renewing subscription.
Starter hosting accepts supported standalone HTML websites, with inline resources or externally hosted assets; the current file importer accepts a single HTML file up to 500,000 bytes. It does not execute PHP, Node.js servers or uploaded databases, and does not include a WordPress installation, mailbox, Microsoft license or AI-generation allowance. Impressa AI and the capacity plans below remain optional paid products. No unlimited traffic, storage or uptime guarantee is offered. Existing paid subscriptions are not automatically cancelled or refunded when a domain qualifies for included hosting.
Launch Hosting costs $36 per year (presented as a $3 monthly equivalent) and includes one published website, one Company-provided subdomain, managed HTTPS on supported infrastructure, up to 500 MB of website storage, and up to five visible release restore points. Business Hosting costs $9 per month and includes up to three published websites, 2 GB of website storage, and up to fifteen visible release restore points. Pro Hosting costs $19 per month and includes up to ten published websites, 5 GB of website storage, and up to thirty visible release restore points. Connecting an eligible, already-owned custom domain has no additional connection charge; ownership and supported DNS setup must still be verified. Domain registration and renewal, Impressa AI Website Studio, Recovery Vault, Website Care, email, taxes, and merchant-payment services are separate unless checkout expressly says otherwise.
The Company-provided subdomain is licensed for use while the relevant included-hosting benefit or subscription remains active; it is not a domain name that you own or can transfer. You retain your rights in the website content you supply and may export the portable HTML made available by the Service. You are responsible for retaining your own copy before cancellation or suspension.
Cancellation takes effect at the end of the paid billing period. After entitlement ends, the published site may be unpublished and its Company-provided address may later be released. Managed HTTPS is issued and renewed by our hosting infrastructure while a supported site is published; it is not a separately sold certificate and does not guarantee that customer content is safe, lawful, or free from vulnerabilities.
Fair-use and acceptable-use limits apply. We may restrict abusive traffic, malware, phishing, unlawful content, attempts to bypass storage limits, or activity that threatens the platform or other customers. This plan has no uptime service-level agreement or service credits.
Website Care is an optional month-to-month service for an eligible website hosted by the Company. Care Essential costs $15 per month and includes one small content request, weekly availability review, up to five visible release restore points, and a three-business-day response target. Care Growth costs $25 per month and includes two small content requests, weekday availability review, up to fifteen visible release restore points, and a two-business-day response target. Care Priority costs $39 per month and includes four small content requests, daily availability review, up to thirty visible release restore points, and a one-business-day response target.
A content request means one bounded change to existing text, images, links, or styling that can reasonably be completed without a redesign or custom application work. Unused requests do not roll over. Response targets apply during published business hours and are targets for an initial response, not guaranteed completion times. Major redesigns, ecommerce builds, third-party subscriptions, malware cleanup, and custom development require a separate written scope. Coverage begins only after the Company accepts the connection brief for the eligible hosted site.
ID360 Domain Guard is an optional fixed-term monitoring add-on for one active domain registered in the customer's ImpressionsDirect360 account. It costs one dollar ($1.00) per month of the selected term and is paid in one charge: twelve dollars ($12) for each year, up to ten years. For example, three years is thirty-six months and costs thirty-six dollars ($36). The selected term does not automatically renew unless a later checkout expressly says that it will.
While coverage is active, the service aims to check the mirrored registration status, registry expiry date, and supported registrar DNS records at least once per twenty-four-hour period. The first successful DNS check establishes a baseline; later supported changes create account history and may send an email alert. If a domain uses external nameservers or a provider does not expose DNS records, DNS comparison is unavailable and the account will say so. Checks and notifications may be delayed by provider maintenance, API availability, DNS propagation, email delivery, or public-internet failures. Where offered in a combined checkout, Domain Guard is an optional, separately itemized prepaid charge tied to the selected domain. It starts only after registration and ownership are confirmed. A confirmed failed registration refunds its unactivated Domain Guard allocation along with that domain; a successful registration does not become refundable merely because an add-on is delayed. Uncertain outcomes remain under review and are not charged again automatically.
Domain Guard detects supported changes but does not prevent domain theft, reverse an unauthorized transfer automatically, guarantee recovery, replace a strong password or two-factor authentication, include contact privacy or registrar lock, scan a website for malware, back up website content, or create an uptime service-level agreement. The customer remains responsible for keeping registration details and payment methods current, reviewing alerts, and contacting support promptly about an unrecognized change.
ID360 Recovery Vault is an optional fixed-term add-on for one domain connected to one published website on active Company hosting. The available prepaid coverage terms are one year for $59, three years for $159, five years for $249, and ten years for $449. Coverage does not automatically renew unless a later checkout expressly says that it will. Domain registration, registrar privacy and lock, hosting, malware cleanup, Website Care, and other services are separate.
Where offered with a new domain in the combined checkout, Recovery Vault is separately itemized and requires the included Coming soon website option. Coverage starts only after registration, ownership and the published website connection are confirmed. If registration is confirmed to have failed, its unactivated Recovery Vault allocation is refunded. If automatic website setup requires owner intervention, or remains incomplete when checked after twelve hours from order creation, the unactivated add-on is queued for a refund; the successfully registered domain remains yours. Refund processing may take additional time. Recovery Vault covers the published ID360 website HTML, not WordPress databases, mailboxes or third-party application data.
While coverage is active, the service aims to capture one private HTML recovery copy, one visual screenshot, and one availability response check in each twenty-four-hour period, and to keep up to thirty daily recovery points. Capture times may vary, a failed check may be retried later, and dynamic data or third-party services not contained in the published HTML may not be recoverable. A customer-initiated restore replaces the active published release selected by the customer and requires a recent account sign-in. Recovery copies are deleted when coverage expires; renew before the end date and keep an independent export if you need longer retention.
The Company's same-business-day recovery review is a target for triage after the customer contacts support; it is not a guarantee that every compromise, DNS failure, third-party outage, or data loss can be fully repaired that day. Recovery Vault does not prevent domain theft, provide a domain transfer lock, scan for all malware, or create an uptime service-level agreement. The customer remains responsible for account security, lawful content, domain access, and keeping independent copies of important data.
Merchant Payments is an invite-only beta. An invited eligible United States business may connect its own Stripe seller account and create controlled one-time payment links. Public seller onboarding does not open until the Company completes its charge, refund, dispute, and payout release tests. Stripe, not ImpressionsDirect360, processes customer payments, collects identity and bank-verification information, determines account eligibility, and sends payouts. You must also accept Stripe's connected-account agreement during onboarding.
The ImpressionsDirect360 platform fee is one percent (1%) of each successful one-time payment, rounded to the nearest cent and capped at fifty cents ($0.50) per payment. Stripe's processing, currency-conversion, dispute, refund, tax, payout, or other charges are separate and are shown by Stripe. Failed and cancelled payments do not create an ImpressionsDirect360 platform fee.
If a payment is fully refunded, the related ImpressionsDirect360 application fee is returned. A partial refund returns a proportional part of that fee. Stripe processing charges may not be returned. You remain responsible for the underlying sale, fulfillment, customer service, taxes, refunds, disputes, chargebacks, product descriptions, receipts, and compliance with all laws and card-network rules.
You may not use Merchant Payments for illegal, deceptive, infringing, sanctioned, fraudulent, restricted, or prohibited goods or services, or to evade Stripe's rules. Stripe or the Company may restrict or suspend payment functionality when verification is incomplete, a connected account is restricted, fraud or dispute risk is detected, or continued processing could harm customers or the platform. The Company does not hold customer funds and is not a bank or payment processor.
ImpressionsDirect360 is a reseller. Tucows/OpenSRS and the applicable registry provide the registrar and registry functions, so their registration agreement, registry rules, ICANN policies, and dispute procedures also apply to a domain order. Search results are not a reservation or guarantee; registration is complete only after the provider confirms it. Premium names, taxes, redemption charges, and renewal prices may differ from an introductory registration price and will be shown before the relevant purchase when known.
You must provide accurate registrant contact information, correct it when it changes, and complete required email verification. ICANN-accredited registrars may suspend or cancel a domain when required contact information remains unverified or materially inaccurate. We will surface verification status and send or relay operational reminders, but only the registered name holder can complete the verification request.
Auto-renew applies only when enabled and uses the term, price, and payment method disclosed in checkout or domain management. You may disable it before the provider's renewal processing begins. You remain responsible for renewal and for keeping a working payment method and email address; expiration can interrupt a website and email, and recovery may be unavailable or carry a provider redemption fee. Contact privacy reduces public display of eligible registration data but is not anonymity and does not prevent lawful disclosure.
Static QR images work independently after download. Dynamic QR codes, branded short links, analytics, editable destinations, and hosted pages depend on an active account, the applicable plan allowance, and the Service remaining available. You are responsible for lawful destinations, accurate public content, and testing the final code or link before printing or distribution.
Password protection on a link is a convenience control, not a substitute for a secure document portal. Do not reuse an important password or place highly sensitive data behind it. We store the configured link passphrase to enforce access; after a successful entry, the browser receives only a signed, one-hour HTTP-only token and not the passphrase.
Customer-configured Meta Pixel and Google tags do not load until a visitor affirmatively allows analytics for that visit, and a Global Privacy Control signal bypasses them. You remain responsible for the tag account, your own privacy notice, and any additional legal basis or consent required. AI output may be inaccurate, non-unique, or unsuitable; review it before publishing or relying on it and ensure you have rights to the prompts, source material, and final use.
Referral participants must disclose their relationship where required and may not use spam, false claims, impersonation, trademark misuse, or self-dealing to obtain credit. Eligibility, attribution, reversals, payout thresholds, and commission timing are governed by the referral terms displayed with that program. Service, security, billing, registry-verification, renewal, and support messages are operational; marketing messages include an unsubscribe method.
The Services, including but not limited to the "ImpressionsDirect360" name, the "Vibrant Violet" trade dress, logos, source code, and algorithms, are the exclusive property of the Company and are protected by United States and international copyright, trademark, and trade secret laws.
TO THE EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THIS DISCLAIMER DOES NOT LIMIT A WARRANTY OR CONSUMER RIGHT THAT APPLICABLE LAW DOES NOT ALLOW US TO EXCLUDE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPRESSIONSDIRECT360 AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.
Liability cap. To the maximum extent permitted by law, our total direct liability arising from the affected Service will not exceed the greater of the amount you paid us for that Service during the twelve months before the event or $100 USD. The exclusions and cap do not apply to fraud, gross negligence or wilful misconduct, death or personal injury caused by negligence, or another liability that applicable law does not permit us to exclude or limit.
To the extent permitted by law, you will defend and indemnify the Company against a third-party claim caused by your unlawful content, your deceptive or unauthorised tracking or communications, your infringement of that third party's rights, or your material breach of this Agreement. We will give prompt notice, allow you reasonable control of the defence, and cooperate at your expense. You may not settle a claim in a way that admits fault or imposes an obligation on us without our written consent. This section does not cover a claim caused by our own breach, negligence, or misconduct.
This Agreement is governed by the laws of the State of Missouri, without regard to conflict-of-law rules, except that mandatory consumer protections in your place of residence continue to apply.
Unless applicable law lets you bring a claim elsewhere, the state or federal courts serving St. Louis, Missouri have jurisdiction. Either party may use an eligible small-claims court.
Before filing a claim, contact legal@impressionsdirect360.com with enough information for both sides to try to resolve it for 30 days. This step does not stop a legal filing deadline, a request for emergency relief, an eligible small-claims case, a charge dispute, or a complaint to a regulator. These terms do not impose arbitration.
Nothing in this Agreement waives a claim, remedy, group proceeding, regulatory complaint, or other right that applicable law does not permit the parties to waive. We do not ask customers to agree to a class-action waiver in these terms.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and do not limit the scope or extent of such section.
PLEASE HAVE YOUR COUNSEL READ THIS. This section was written by ImpressionsDirect360 to describe, in plain language, how the managed service actually works. It has not been drafted or reviewed by an attorney, and nothing here is legal advice. It is published for your review so you can see the terms before you buy — have your own counsel review it before you rely on it.
Sections 1 through 12 above apply to the Company's domains, websites, hosting, Studio, QR and link, email, payment, security, and account services. This Section 13 adds terms for the managed Microsoft 365 service ("Managed Services") from IMPRESSIONSDIRECT360 LLC, a Missouri limited liability company, of 701 Market St Ste 110 #2008, Saint Louis, MO 63101-1824. Where this Section 13 conflicts with the earlier sections for Managed Services, this section governs.
Under the Managed Services we administer the Microsoft 365 tenant you invite us into, and we build and operate the automations you enable. That is the whole of it: administration of your tenant, the automations you approve, and the ID360 AI assistant. It is a separate service from the Studio product covered by the rest of this Agreement, it is bought on a separate plan, and buying one does not give you the other except where your plan says a Studio tier is included.
Your own Microsoft 365 administrator consents to a single named ID360 application from inside your own Microsoft admin center. There is no shared administrator account and no password of yours in our hands. What that consent grants is broad, and the first three points below are the ones to read before you grant it.
You buy and own your Microsoft 365 licences in your own name, directly from Microsoft or from a reseller of your choosing. We do not resell Microsoft licences. What you pay us for is management, automation, and the assistant — not licences, and not Microsoft's services themselves.
You are responsible for:
Support runs during published business hours: Monday–Friday, 9:00 AM – 6:00 PM Central. Reach us at support@impressionsdirect360.com or +1 (314) 339-4936. The managed-workplace first-response targets are: ImpressionsDirect360 Solutions — Launch, 8 business hours; ImpressionsDirect360 Solutions — Growth, 4 business hours; ImpressionsDirect360 Solutions — Scale, 2 business hours. Standalone domains, hosting, email, Website Studio, and free accounts receive best-effort support unless a purchased Website Care tier states a separate target. A response target is the time we aim to reply in, counted in business hours, not the time to a fix.
We do not offer 24/7 coverage, and outside business hours there is no on-call rota. We do not offer an uptime guarantee. Where your plan lists an automation uptime figure, it is a target we operate to, not a contractual service level: it carries no service credits, and we do not yet run the monitoring that would back a guarantee.
Either of us may end the Managed Services engagement. Cancel anytime. No notice period, no cancellation fee. When you cancel, nothing switches off early: your plan benefits stay active until the date your subscription would have renewed — the end of the month or year you've already paid for. Paid periods are ordinarily non-refundable, including partial months, partial years, and unused time, except where law requires otherwise or Section 4 covers a duplicate charge or failed delivery. We may end the engagement on reasonable written notice, or immediately for non-payment or for a breach of this Agreement.
On termination we stop accessing your tenant, and you withdraw the application consent from your own admin center — we will ask you to, so that nothing of ours is left standing in your Microsoft environment. Automations we ran on our own infrastructure stop and are decommissioned.
Your mail, your documents, your sites, and your accounts stay where they already are: in your own Microsoft 365 tenant, which is yours. We do not delete them, and we do not hold anything of yours back to encourage you to stay. What we do hold is our own operational record of what the automations did — the record described in Section 13.2, which includes details drawn out of the mail they processed. The Data Processing Addendum in our Privacy Policy lists exactly what those rows contain, where they are held, how long we keep them, and how to ask us for a copy or for deletion.
The disclaimer of warranties in Section 6 and the limitation of liability and liability cap in Section 7 apply to the Managed Services in full. In addition, and without widening either of those sections:
We will update the effective date when these terms change. Material changes apply prospectively, and we will provide reasonable email or in-product notice where practicable. A change does not retroactively rewrite a completed purchase or remove a mandatory legal right.
